Sendit Terms of Use
1. Acceptance of Terms
By accessing or using the Platform, you confirm that you are at least 18 years of age, have the legal authority to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy. If you are accessing the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
Sendit provides a technology platform connecting licensed medical professionals (“Providers”) and healthcare entities (“Facilities”) to facilitate the provision of clinical services on a locum tenens and gig-work basis. The Platform provides Providers with the following services and tools:
• Marketplace: A platform through which Providers can create professional profiles, set rates, manage availability, and connect with Facilities seeking clinical coverage. Rates displayed to Facilities reflect total service costs inclusive of Sendit’s fees.
• Document Storage and Credentialing: A secure repository where Providers can upload, store, and manage credentialing documents, licenses, certifications, and other professional records required for onboarding with Facilities.
• Relationship Management: Tools enabling Providers to manage connections with Facilities, track engagement history, communicate regarding assignments, and maintain ongoing professional relationships through the Platform.
• Payment and Expense Management: Tools enabling Providers to track earnings, manage billing, submit timesheets, and handle expense documentation associated with assignments.
• Scheduling and Assignment Management: Tools for viewing, accepting, and managing shift assignments and availability.
• Notifications and Communications: Automated and manual communications regarding shift opportunities, credentialing status, account activity, and other Platform-related information.
Sendit does not employ Providers, does not provide medical services, and is not responsible for clinical decisions, outcomes, or the conduct of any Provider or Facility using the Platform.
Agreement Structure. Use of the Platform — including account creation, profile creation, document storage, credentialing submissions, browsing of available opportunities, and receipt of notifications — is governed by these Terms. Acceptance of a connection with a Facility through the Platform requires execution of a separate Independent Contractor Professional Services Agreement (“PSA”) between the Provider and Sendit, which governs the terms and conditions of the Provider’s service relationship, including assignments, compensation, insurance, and related obligations. The Platform will not permit a Provider to accept a connection with a Facility unless a signed, current PSA is on file. In the event of any conflict between these Terms and an executed PSA, the terms of the PSA control.
No Provider is obligated to accept any connection or engagement, and creation of a Platform account does not guarantee or entitle any Provider to clinical work.
3. Data Verification and Third-Party Data Services
By creating an account on the Platform, you acknowledge and agree to the following:
(a) Direct Public Database Verification. Sendit may, on an ongoing basis and without further notice to you, access, retrieve, and use information from publicly available databases and government registries to verify your professional credentials, licensure status, and regulatory standing. These sources include, but are not limited to:
• The National Plan and Provider Enumeration System (NPPES/NPI Registry)
• The Office of Inspector General (OIG) List of Excluded Individuals/Entities
• The System for Award Management (SAM.gov) exclusion records
• State medical board licensure verification databases
• Drug Enforcement Administration (DEA) registration verification
• National Practitioner Data Bank (NPDB), to the extent Sendit is an authorized querying entity
• Publicly available court records and disciplinary actions
(b) Third-Party Data Services. Sendit may also obtain, compile, and use information about you from third-party data sources, including but not limited to credentialing verification organizations, commercial data aggregators, provider intelligence platforms, identity verification services, and other third-party databases or services that compile, aggregate, or report professional, regulatory, or identity-related information. You consent to such third parties disclosing information about you to Sendit for the purposes described in these Terms.
(c) Compliance with Applicable Law. To the extent any third-party source from which Sendit obtains information constitutes a “consumer reporting agency” as defined under the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) or any applicable state equivalent, Sendit will provide any additional disclosures and obtain any additional authorizations required by applicable law before accessing reports from such source. Nothing in these Terms is intended to waive or limit any rights you may have under the FCRA or applicable state law.
(d) Use of Obtained Information. Information obtained through the sources described in subsections (a) and (b) may be used to:
• Populate, supplement, or update your Platform profile
• Verify representations you have made on the Platform
• Determine and monitor your eligibility to maintain an active account
• Assess regulatory compliance and risk
• Facilitate credentialing processes with Facilities
• Improve Platform functionality and data quality
(e) Actions Based on Verification Results. Sendit may take action based on the results of any verification or data review conducted under this Section, including suspending or removing your profile, restricting access to Platform features, declining to present your profile to Facilities, or terminating your account. If such action is based in whole or in part on information obtained from a third-party source that constitutes a consumer report under applicable law, Sendit will comply with all applicable adverse action notice requirements.
(f) Obligation to Maintain Accurate Information. You represent that the information you provide on the Platform is consistent with publicly available records and information held by third-party credentialing and verification sources. Any material discrepancy between your self-reported information and information obtained from such sources may result in immediate profile suspension pending resolution. You may dispute the accuracy of any information displayed on your profile by contacting Sendit at support@senditgigs.com.
4. User Responsibilities
By using the Platform, you agree to:
• Provide accurate, complete, and current information in your profile, credentialing submissions, and all interactions on the Platform
• Maintain and promptly update your credentials, licensure status, availability, and all documents stored on the Platform
• Comply with all applicable federal, state, and local laws and regulations, including those governing the practice of medicine and the provision of healthcare services
• Treat all other users with professionalism and respect
• Protect your login credentials and notify Sendit immediately of any unauthorized access to your account
• Not reproduce, distribute, modify, or create derivative works from any Platform content without Sendit’s express written consent
• Not use the Platform for any unlawful, fraudulent, or abusive purpose
• Not use automated tools, bots, or scripts to access the Platform or extract data without Sendit’s express written consent
• Not upload, store, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
You are solely responsible for the accuracy of your profile, the documents you store on the Platform, the representations you make to Facilities, and your compliance with all licensing and credentialing requirements applicable to your practice.
5. Provider Profiles and Stored Documents
Providers may create profiles including professional credentials, rates, availability, work history, and reviews. You represent and warrant that all information in your profile is accurate and that you hold all licenses, certifications, and credentials listed therein.
Your profile may include information derived from publicly available sources and third-party data services as described in Section 3, in addition to information you provide directly. You acknowledge that Sendit may display such information on your profile and may update it periodically without prior notice to you. You may review and request correction of any information displayed on your profile at any time by contacting Sendit.
Documents you upload to the Platform are stored for the purpose of facilitating credentialing and onboarding with Facilities. You are solely responsible for ensuring that all documents you upload are accurate, current, and complete. Sendit is not a custodian of your documents and does not guarantee the preservation, security, or availability of any documents stored on the Platform beyond commercially reasonable efforts. You are encouraged to maintain independent copies of all documents you upload.
Sendit reserves the right to remove, suspend, or modify any profile or stored document that contains inaccurate, misleading, or incomplete information, or that otherwise violates these Terms.
6. Notifications
The Platform may send automated notifications regarding shift opportunities, credentialing status, connection requests, document expirations, and account activity. By creating an account, you consent to receive these communications at the email address associated with your account.
If you opt in to SMS notifications, you consent to receive text messages for the same purposes. Message and data rates may apply. Message frequency varies by account activity. To opt out of SMS, reply STOP at any time. To request assistance, reply HELP. Carriers are not liable for delayed or undelivered messages. Opting out of SMS notifications may limit your ability to receive time-sensitive updates.
7. Opt-In Support Services
Sendit may offer optional support services including credentialing assistance, scheduling, recruitment, and travel coordination. These services are provided as a convenience and do not create any employment, agency, or fiduciary relationship between Sendit and any user. Sendit makes no guarantees regarding outcomes associated with these support services.
8. Referral Program
Participation in any Sendit referral program is subject to eligibility requirements and these Terms. The referral program is available only to physicians and advanced practice providers who are licensed or license-eligible in the United States.
Sendit reserves the right, in its sole discretion, to verify the identity and credentials of all participants, withhold or reverse referral credits where requirements are not met, and make all final determinations regarding program eligibility.
Prohibited conduct includes self-referrals, duplicate accounts, misrepresentation of credentials, use of automated tools, coordinated referral activity, and distribution of referral links through spam or unsolicited messaging. Violations may result in immediate disqualification, credit forfeiture, and account termination.
Sendit may modify, pause, or terminate the referral program at any time without notice. Participants are solely responsible for any applicable tax obligations. Referral credits have no cash value until issued and do not constitute a guaranteed payment or contractual entitlement.
9. Intellectual Property
All content on the Platform, including text, graphics, logos, software, data compilations, and algorithms, is the property of Send-it Healthcare, Inc. or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or license to any Platform content beyond the limited right to use the Platform as expressly permitted herein.
Any feedback, suggestions, or ideas you provide to Sendit regarding the Platform may be used by Sendit without restriction or compensation to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENDIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, LOSS OF STORED DOCUMENTS, OR PERSONAL INJURY.
SENDIT’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SENDIT IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Sendit does not guarantee the accuracy, completeness, or reliability of any content, profile, credential, document, or information on the Platform, including information obtained from public databases or third-party data sources. Facilities are responsible for independently verifying Provider credentials before engagement.
11. Indemnification
You agree to indemnify, defend, and hold harmless Send-it Healthcare, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any inaccuracy in your profile, stored documents, or representations; or (e) any dispute between you and another user of the Platform.
12. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SENDIT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SENDIT MAKES NO WARRANTY REGARDING THE PRESERVATION, SECURITY, OR CONTINUED AVAILABILITY OF ANY DOCUMENTS OR DATA STORED ON THE PLATFORM.
13. Privacy
Your use of the Platform is governed by Sendit’s Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.
Without limiting the generality of the foregoing, the Privacy Policy describes Sendit’s practices with respect to the collection of information from publicly available sources and third-party data services as described in Section 3 of these Terms, including the categories of information collected, the types of sources from which it is obtained, and how it is used. You are encouraged to review the Privacy Policy in its entirety.
14. Changes to Terms
Sendit reserves the right to modify these Terms at any time. Updated Terms will be posted to the Platform with a revised effective date. For material changes, Sendit will provide notice via email or in-Platform notification. Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms. If you do not agree to updated Terms, you must discontinue use of the Platform.
15. Termination
Sendit may suspend or terminate your access to the Platform at any time, for any reason, with or without notice. Upon termination, your right to use the Platform ceases immediately. Sendit is not obligated to preserve, return, or make available any documents, data, or other content associated with your account following termination. Provisions of these Terms that by their nature should survive termination — including data verification rights, intellectual property, limitation of liability, indemnification, and dispute resolution — shall survive.
16. Dispute Resolution
Any dispute arising from or related to these Terms or your use of the Platform (excluding any dispute arising under an executed PSA, which shall be resolved in accordance with the dispute resolution provisions of that agreement) shall first be submitted to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall be conducted in Williamson County, Tennessee, but may be conducted remotely via video-teleconference. Each party waives any right to a jury trial or to participate in a class action proceeding.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Sendit with respect to your use of the Platform. These Terms do not supersede, modify, or limit the terms of any Independent Contractor Professional Services Agreement entered into between you and Sendit in connection with a clinical engagement. In the event of any conflict between these Terms and an executed PSA, the terms of the PSA control with respect to the subject matter of the PSA.
